Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "user") and Black Galleon, Ltd., a Texas limited partnership doing business as BldFi ("BldFi," "we," "us," or "our"), governing your access to and use of the BldFi platform at bldfi.com and all associated content, tools, and services (collectively, the "Platform").

By accessing or using the Platform in any manner — including browsing, using our calculator tools, or submitting a loan inquiry — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.

If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you and that entity.

BldFi is a platform operated by Black Galleon, Ltd., a Texas limited partnership, doing business as BldFi. The Platform is designed to connect borrowers — including home builders, remodelers, and fix-and-flip investors — with institutional lenders who may offer business-purpose financing for real estate construction and investment projects.

BldFi currently operates within the State of Texas. Use of the Platform outside of Texas, or for projects located outside of Texas, may not be supported and is subject to applicable state laws.

Business-purpose platform only. The BldFi Platform is intended exclusively for real estate professionals, developers, and business entities engaged in construction and real estate investment. The financing options made available through the Platform are business-purpose loans and are not intended for personal, family, or household use.

As a platform, BldFi:

• Collects and transmits borrower inquiries and application information to relevant institutional lenders on the Platform
• Facilitates introductions between borrowers and institutional lenders
• Provides informational tools, calculators, and educational resources to support borrowers in evaluating financing options
• Does not guarantee that any borrower will be matched with a lender or receive financing
• Does not set or guarantee the terms of any loan — rates, LTC, loan amounts, and other terms are determined solely by the lender
• Is not a party to any loan agreement between a borrower and a lender
• Does not provide legal, financial, tax, or investment advice

It is your responsibility to confirm that your intended use of the Platform and any resulting financing complies with all applicable laws.

BldFi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for lawful purposes related to evaluating institutional lending options for real estate construction and investment projects.

• Eligibility. You must be at least 18 years of age and have the legal capacity to enter into binding agreements.
• Geographic scope. The Platform and its content are intended for users located in the United States, currently operating in Texas.
• Accurate information. You agree to provide accurate, current, and complete information when submitting inquiries. Providing false or misleading information is prohibited and may constitute fraud under applicable law.
• Business use only. You confirm that any financing you seek through the Platform is for business or investment purposes, not for personal, family, or household use.

BldFi provides a suite of free financial calculators and planning tools on the Platform (the "Tools"), including the Carrying Cost Calculator, Draw Schedule Calculator, Fix & Flip Profit Analyzer, LTC/LTV Calculator, New Build Feasibility Analyzer, Draw Request Manager, Construction Cost Estimator, and Scope of Work Generator.

• Tool outputs are estimates and may differ materially from actual loan terms, project costs, timelines, or investment returns
• The Tools do not account for all variables affecting real estate projects, including market conditions, contractor performance, regulatory changes, or permitting delays
• Do not make investment decisions based solely on Tool outputs
• BldFi is not responsible for decisions made based on Tool outputs
• BldFi recommends consulting qualified financial advisors, attorneys, contractors, and other professionals before making real estate investment decisions

Tools are provided "as is." BldFi makes no representations about their accuracy or fitness for any purpose and may modify, suspend, or discontinue any Tool at any time without notice.

When you submit a loan inquiry through BldFi, you are requesting that BldFi introduce you to institutional lenders on the Platform who may be able to provide the financing you are seeking. You acknowledge and agree that:

• Your inquiry information will be shared with institutional lenders on the BldFi Platform
• Any subsequent communications, negotiations, and agreements regarding financing are between you and the lender directly
• BldFi is not a party to, and has no liability under, any loan agreement between you and a lender

Consent to contact. By submitting a loan inquiry, you consent to be contacted by BldFi, Black Galleon, Ltd., and institutional lenders on the Platform by phone, email, and text message at the contact information you provide. Standard message and data rates may apply. You may opt out at any time by contacting info@bldfi.com or by replying STOP to any text message.

Credit inquiry. BldFi does not conduct credit checks. Any credit inquiry is initiated solely by the lender you are connected with and requires your explicit consent to that lender.

Application processing. Inquiries submitted through BldFi are processed via JotForms pursuant to their terms and privacy policy. BldFi receives your inquiry data as described in our Privacy Policy.

All information on the BldFi Platform regarding loan products, rates, LTC ratios, loan amounts, and closing timelines is provided for general informational purposes only and reflects typical terms offered by lenders on our Platform. This information:

• Does not constitute an offer or commitment to provide financing
• Is subject to change without notice and may not reflect any individual lender's current criteria
• Does not guarantee that you will be matched with a lender or that any lender will approve your request
• Does not guarantee the availability of any specific rate, term, LTC ratio, or loan amount for your transaction

Actual loan terms are determined solely by the lender and are set forth only in a written, executed loan agreement between you and that lender. BldFi has no authority to commit any lender to any terms.

The BldFi Platform and all of its content — including text, graphics, logos, calculator tools, software, and page layouts — are the property of Black Galleon, Ltd. or its licensors and are protected by applicable intellectual property laws.

BldFi grants you a limited license to view, download, and print content from the Platform solely for your personal, non-commercial use in evaluating financing options. This license does not permit:

• Reproduction or distribution of Platform content for commercial purposes
• Modification or creation of derivative works based on Platform content
• Reverse engineering or decompiling any software or tools on the Platform
• Use of the BldFi name, logo, or trademarks without prior written permission from Black Galleon, Ltd.
• Framing or mirroring any portion of the Platform on another website
• Automated scraping or data extraction without written consent

You agree not to use the Platform to:

• Submit false, misleading, or fraudulent information in any inquiry or application
• Impersonate any person or entity or misrepresent your identity or authority
• Attempt unauthorized access to any portion of the Platform or the accounts of other users
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the Platform's integrity or performance
• Use the Platform in violation of any applicable local, state, or federal law
• Engage in any activity that could damage BldFi's or Black Galleon, Ltd.'s reputation or business relationships

BldFi reserves the right to suspend or terminate your access to the Platform at any time, for any reason, without notice.

The Platform and all content are provided "as is" and "as available," without warranties of any kind, express or implied. To the fullest extent permitted by law, Black Galleon, Ltd. and BldFi disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

No financial, legal, or investment advice. Nothing on the BldFi Platform constitutes financial, tax, legal, or investment advice. BldFi is an intermediary platform, not a financial advisor, accountant, or attorney. Consult appropriate professionals before making any financial or investment decision.

Lender independence. Institutional lenders on the BldFi Platform are independent third parties. BldFi does not control, endorse, or guarantee their actions, terms, or performance. Your relationship with any lender is governed solely by your agreement with that lender.

Third-party content. The Platform may link to third-party websites. BldFi is not responsible for the content or practices of third-party sites.

To the fullest extent permitted by applicable law, in no event shall Black Galleon, Ltd., BldFi, their partners, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, business, or goodwill
• Damages arising from your use of, or inability to use, the Platform
• Damages arising from any financing decision made by a lender, including the approval or denial of your request
• Damages arising from the accuracy of calculator tool outputs
• Damages arising from the acts or omissions of any institutional lender on the Platform
• Damages arising from unauthorized access to or alteration of your data

Black Galleon, Ltd.'s total cumulative liability to you for any claim arising from these Terms or the Platform shall not exceed $100.00. Some jurisdictions do not allow certain liability exclusions; in such cases, liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless Black Galleon, Ltd., BldFi, and their partners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of or access to the Platform
• Your violation of these Terms or any applicable law
• Any false or misleading information you submit through the Platform
• Your violation of any third-party rights
• Any dispute between you and an institutional lender on the Platform

Informal resolution first. Before initiating formal proceedings, contact BldFi at info@bldfi.com. We will attempt in good faith to resolve any dispute within 30 days of receiving your written notice.

Binding arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Platform (excluding disputes over intellectual property rights) shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, conducted in Texas. The arbitrator's decision shall be final and binding.

Class action waiver. To the fullest extent permitted by law, you waive any right to participate in a class action or class-wide arbitration against Black Galleon, Ltd. or BldFi. All disputes must be brought in your individual capacity only.

Small claims exception. Either party may bring an individual claim in small claims court if the claim qualifies and remains there.

These Terms and any dispute arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration under Section 13, you consent to the exclusive jurisdiction of the state and federal courts located in Texas.

Black Galleon, Ltd. reserves the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page and post the revised Terms on the Platform. For material changes, we will provide reasonable notice via email or a prominent notice on the Platform. Your continued use of the Platform after the effective date of any update constitutes acceptance of the revised Terms.
